• Your violation of any applicable law, rule, or regulation;

CI&T reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. 9 Governing Law and Jurisdiction

These Terms, and any dispute, controversy, or claim arising out of or in connection with them or the Website — including any question regarding their existence, validity, interpretation, breach, or termination — shall be governed exclusively by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles.

The parties irrevocably consent and submit to the exclusive jurisdiction of the courts of the judicial district of Campinas, State of São Paulo, Brazil for the resolution of any dispute arising under or in connection with these Terms or your use of the Website. You expressly waive any objection to the laying of venue in such courts and any claim that such courts constitute an inconvenient forum.

CI&T makes no representation that the Website or its contents are appropriate or available in jurisdictions outside Brazil.
